oscommerce has lots of addon scripts to do just about anything. Easy to create categories and upload products. It has a banner feature and you can set up how you do shipping.

Issue 1 isn't really something the cart should have to address. You should fix your shipping prices and keep them simple, having different shipping values depending on a number of criterea is really confusing for the end user. I don't think I've ever seen an eccomerce solution with a feature like that.

I know OSCommerce works with PayPal IPN (with the help of a user contributed modification) and has the user signup feature you mentioned.
